These Terms of Use (“Terms”) govern your access to and use of the CPRally public website at cprally.com, the CPRally application at app.cprally.com, and related CPRally services, pages, features, and communications collectively referred to as the “Services.”

Please read these Terms carefully. By accessing or using the Services, creating or using an account, managing an event, registering for an event, joining a team, or submitting a checkpoint check-in, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. About CPRally

CPRally is a web-based platform designed to help organizations create, manage, conduct, and preserve location-based events.

The Services may support activities such as:

  • Event setup and administration
  • Public event discovery
  • Event registration
  • Team and class management
  • GPS-based checkpoint check-ins
  • Poker run card assignment and scoring
  • Standings and results
  • Announcements and sponsor visibility
  • Reports, exports, and historical event records

The public website and application serve different purposes:

  • cprally.com provides public product information and searchable upcoming-event summaries.
  • app.cprally.com provides accounts, event administration, registration, participation, checkpoint check-ins, scoring, standings, results, and related application workflows.

CPRally provides technology for managing events. CPRally does not itself organize, supervise, sanction, certify, insure, or guarantee any event unless expressly stated in writing.

2. Eligibility

You may not independently create or use a CPRally account if you are under 13 years old.

If you are between 13 and the age of legal majority where you live, you may use the Services only with permission from a parent or legal guardian. Your parent or guardian is responsible for reviewing these Terms with you.

Organizations and event organizers are responsible for obtaining any legally required parental consent, guardian authorization, releases, or other permissions before submitting information about or allowing participation by a minor.

By using the Services, you represent that:

  • You meet the applicable eligibility requirements
  • You have authority to agree to these Terms
  • Information you provide is accurate and not misleading
  • Your use of the Services complies with applicable law

3. Accounts and Authentication

3.1 Standard User Accounts

Standard users access the CPRally application through approved Google Sign-In.

You are responsible for:

  • Maintaining the security of your Google account and device
  • Using an account that belongs to you
  • Keeping your account information reasonably current
  • Promptly reporting suspected unauthorized access
  • Signing out of shared or public devices

CPRally does not receive or store your Google password.

You may not:

  • Share an account between multiple people
  • Impersonate another person
  • Create an account using false or misleading information
  • Access another person's account without authorization
  • Attempt to bypass authentication or account restrictions

3.2 Administrative Accounts

Administrative access is limited to authorized users and assigned capabilities.

Organization administrators, event managers, and platform administrators may access additional information and functions based on their authorized context. Administrative access must be used only for legitimate platform, organization, event, support, security, or compliance purposes.

Administrative credentials and access may not be shared.

3.3 Account Status

CPRally may restrict, suspend, or disable an account when reasonably necessary to protect users, organizations, event integrity, platform security, or legal compliance.

4. Organization and Event Responsibilities

Organizations and event organizers remain responsible for the events they create or manage through CPRally.

Their responsibilities include:

  • Providing accurate and lawful event information
  • Establishing event rules, schedules, eligibility, classes, and scoring configuration
  • Selecting lawful and appropriate routes, locations, and checkpoints
  • Obtaining permissions to use private property, venues, roads, images, names, trademarks, and other content
  • Determining whether permits, insurance, waivers, releases, licenses, or approvals are required
  • Managing participants, teams, volunteers, sponsors, and prizes
  • Providing appropriate event-day instructions and emergency information
  • Reviewing public-visibility settings before publishing an event
  • Correcting inaccurate event data, standings, or results
  • Complying with laws governing the event and its participants
  • Obtaining any required permissions concerning minors
  • Handling cancellations, postponements, refunds, prizes, disputes, and event-specific communications

CPRally does not review or approve every route, checkpoint, rule, event description, sponsor, image, result, or organizer decision.

An organization's use of CPRally does not mean CPRally endorses, sanctions, certifies, or insures that organization or event.

5. Participant Responsibilities

Participants are responsible for:

  • Reviewing event information and organizer instructions
  • Following applicable event rules
  • Providing accurate registration and team information
  • Using only their own account
  • Submitting check-ins only for their actual team and event activity
  • Complying with traffic laws, property restrictions, and lawful instructions
  • Exercising independent judgment regarding safety, weather, road conditions, and personal ability
  • Treating organizers, volunteers, other participants, and the public appropriately
  • Promptly reporting an incorrect result or suspected account misuse

A participant must not falsify location, manipulate a check-in, interfere with scoring, obtain restricted event information, or otherwise attempt to gain an unauthorized advantage.

6. Driving and Event Safety

Do not interact with CPRally while operating a vehicle.

Drivers must keep their attention on driving and obey all applicable traffic and distracted-driving laws. A passenger or navigator should operate the device whenever possible.

Before viewing event information, entering information, changing a route, or attempting a check-in, the driver must stop in a safe and lawful location.

CPRally:

  • Is not a navigation or turn-by-turn directions service
  • Is not an emergency-communication or roadside-assistance service
  • Does not monitor participant safety
  • Does not continuously track participants
  • Does not guarantee that a route, road, checkpoint, venue, or location is safe, open, lawful, or accessible
  • Does not replace official signs, law-enforcement directions, road closures, weather alerts, emergency instructions, or organizer judgment

Call the appropriate emergency service in an emergency. Do not rely on CPRally for emergency assistance.

Organizers and participants assume responsibility for their own event, route, vehicle, equipment, decisions, conduct, and safety.

7. Location and Check-In Services

CPRally may use location information submitted during a checkpoint check-in to determine whether the submission satisfies configured event requirements.

A check-in may use information such as:

  • Submitted latitude and longitude
  • Reported device accuracy
  • Checkpoint coordinates and validation radius
  • Checkpoint availability window
  • Event, team, and participant context
  • Prior checkpoint activity
  • Applicable event configuration

Location and GPS information can be unavailable, delayed, incomplete, or inaccurate because of device capabilities, permissions, obstructions, signal conditions, browser behavior, environmental conditions, or other factors outside CPRally's control.

A successful device reading does not guarantee acceptance of a check-in. A rejected check-in does not necessarily mean the participant was not physically present.

The server's recorded determination is authoritative for the platform workflow, subject to any correction or review permitted by the organizer.

Users may not spoof, falsify, replay, alter, automate, or manipulate location or check-in information.

8. Registration, Teams, Scoring, and Results

Event registration, team participation, scoring, standings, and results depend on organizer configuration and event rules.

CPRally may calculate or display information based on data entered by organizers and participants. Results can be affected by:

  • Incorrect event configuration
  • Inaccurate or incomplete information
  • Check-in acceptance or rejection
  • Organizer adjustments
  • Card assignment
  • Scoring recalculation
  • Disqualification or event-specific decisions
  • Technical interruptions

Organizers remain responsible for reviewing and publishing official event outcomes.

Unless an organizer expressly states otherwise, CPRally standings and results are not certified, independently audited, or guaranteed.

CPRally does not guarantee eligibility for, receipt of, or value of any prize, award, recognition, or benefit offered by an organizer or sponsor.

9. Public Events and Public Information

Organizations may enable public visibility for eligible events and related information.

Public information may include:

  • Event name and description
  • Organization name
  • Event type
  • Date and general location
  • Event image
  • Registration availability
  • Team names, classes, standings, or results when enabled
  • Sponsor information

Public information may be copied, indexed, shared, or captured by others. Removing or disabling public visibility may not remove copies already made by third parties or search engines.

Public event listings are provided for informational purposes. Event information may change. Confirm important details with the applicable organizer before relying on them.

10. User and Organizer Content

“Content” includes text, descriptions, instructions, clues, announcements, links, images, organization information, event information, sponsor material, team names, and other material submitted through the Services.

You retain any ownership rights you have in Content you submit.

By submitting Content, you grant CPRally a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, format, display, transmit, and otherwise use the Content as reasonably necessary to:

  • Operate and secure the Services
  • Provide the requested event and account functionality
  • Display information according to configured visibility settings
  • Maintain backups and historical records
  • Support, troubleshoot, and improve the Services
  • Comply with legal obligations

This license continues for as long as the Content remains in the Services or is reasonably retained in backups, audit records, historical event records, or as required by law.

You represent that:

  • You own the Content or have permission to submit and use it
  • The Content does not violate another person's rights
  • The Content is accurate where accuracy is required
  • The Content complies with these Terms and applicable law

CPRally may remove, restrict, or refuse Content that reasonably appears unlawful, unsafe, infringing, deceptive, abusive, malicious, or inconsistent with these Terms.

11. Prohibited Conduct

You may not use the Services to:

  • Violate applicable law or another person's rights
  • Harass, threaten, defame, exploit, or impersonate another person
  • Submit unlawful, deceptive, infringing, or malicious Content
  • Upload malware or harmful code
  • Attempt unauthorized access to accounts, organizations, events, systems, or data
  • Circumvent authentication, authorization, tenant isolation, rate limits, or security controls
  • Probe, scan, or test the Services for vulnerabilities without written authorization
  • Interfere with the operation or availability of the Services
  • Falsify registration, team, scoring, card, checkpoint, or location information
  • Scrape or automate access in a manner that creates unreasonable load or violates access restrictions
  • Reverse engineer or attempt to extract source code except where applicable law expressly permits it
  • Use private information obtained through CPRally for unrelated marketing, surveillance, discrimination, or harassment
  • Use the Services to conduct an event that is unlawful or intentionally dangerous
  • Represent that CPRally sponsors, certifies, sanctions, or insures an event without written authorization
  • Use CPRally trademarks or branding in a misleading manner
  • Resell, sublicense, or provide unauthorized commercial access to the Services

12. Intellectual Property

The Services, including CPRally's software, interface, design system, documentation, logos, trademarks, and original content, are owned by CPRally or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, CPRally grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for their intended purposes.

No right is granted to:

  • Copy or distribute CPRally software or documentation beyond permitted use
  • Create confusingly similar branding
  • Remove proprietary notices
  • Use CPRally's name, logo, or marks as an event endorsement
  • Register domains, accounts, or marks that impersonate CPRally

Organization names, event names, sponsor marks, and user-submitted Content remain the property of their respective owners.

13. Third-Party Services and Links

The Services may rely on or link to third-party services such as:

  • Google Sign-In
  • Cloud hosting and database providers
  • Email services
  • OpenStreetMap and map-tile services
  • Sponsor websites
  • Organizer resources
  • External forms or event links

Third-party services are governed by their own terms, policies, availability, and security practices.

CPRally is not responsible for third-party services, content, products, actions, or failures merely because they are integrated with or linked from CPRally.

14. Fees, Payments, and Prizes

The CPRally MVP does not process event-registration payments.

An organizer may separately charge fees, collect donations, offer prizes, or use an external payment service. Those transactions are solely between the participant, organizer, sponsor, and applicable payment provider.

CPRally is not responsible for:

  • Event fees
  • Refunds
  • Chargebacks
  • Donations
  • Taxes
  • Prizes or prize eligibility
  • Sponsor offers
  • External payment processing
  • Financial disputes between organizers and participants

If CPRally later introduces paid platform services, additional pricing and payment terms may apply.

15. Availability and Changes to the Services

CPRally may update, modify, suspend, or discontinue part or all of the Services.

The Services may be unavailable because of:

  • Maintenance
  • Deployment
  • Provider outages
  • Connectivity failures
  • Security incidents
  • Technical problems
  • Events outside CPRally's reasonable control

CPRally does not guarantee uninterrupted, error-free, or permanently available service.

Features may change as the platform evolves. CPRally will not intentionally use documentation or marketing copy to promise unimplemented capabilities.

16. Suspension and Termination

CPRally may suspend, restrict, or terminate access when reasonably necessary because of:

  • Violation of these Terms
  • Fraud, abuse, manipulation, or unlawful activity
  • Security risk
  • Unauthorized access
  • Harm to users, organizations, CPRally, or third parties
  • Legal or regulatory requirements
  • Repeated interference with the Services

An organization administrator may remove a user's organization, event, registration, or team access according to applicable permissions and event rules.

You may stop using the Services at any time.

Termination or loss of access does not automatically require deletion of information that CPRally may lawfully retain for event history, auditability, security, dispute resolution, backups, or legal compliance.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CPRally disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and uninterrupted operation.

Without limiting the foregoing, CPRally does not warrant that:

  • The Services will always be available or error-free
  • GPS, location, timing, check-in, scoring, standings, or results will always be accurate
  • Event information is complete or current
  • A route, checkpoint, venue, event, organizer, sponsor, or participant is safe or lawful
  • Data will never be lost
  • The Services will satisfy every organizer's or participant's needs

Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPRALLY AND ITS OWNERS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR BUSINESS OPPORTUNITY.

This limitation applies to claims arising from or related to:

  • Use of or inability to use the Services
  • Events, routes, checkpoints, venues, organizers, participants, sponsors, prizes, or third parties
  • Injury, property damage, traffic incidents, or unsafe conduct
  • Location or check-in errors
  • Scoring, standings, results, or organizer decisions
  • Unauthorized access, data loss, or service interruption
  • Third-party services or links

To the maximum extent permitted by law, CPRally's total aggregate liability arising from or related to the Services or these Terms will not exceed the greater of:

  1. The amount you paid directly to CPRally for the Services during the 12 months before the event giving rise to the claim, or
  2. One hundred U.S. dollars ($100)

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless CPRally and its owners, affiliates, service providers, licensors, and representatives from claims, liabilities, damages, judgments, losses, and reasonable costs arising from or related to:

  • Your use or misuse of the Services
  • Your Content
  • Your violation of these Terms
  • Your violation of another person's rights
  • An event you organize, manage, sponsor, promote, or conduct
  • Your route, checkpoint, rule, prize, registration, participant, volunteer, or safety decisions
  • Your failure to obtain required permissions, insurance, waivers, releases, licenses, or consents

This section does not require indemnification for conduct that cannot legally be indemnified.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal action arising from or related to these Terms or the Services must be brought in the state or federal courts serving St. Johns County, Florida, and the parties consent to those courts' jurisdiction and venue.

Nothing in these Terms prevents either party from seeking appropriate temporary or emergency relief from a court with jurisdiction.

21. Changes to These Terms

CPRally may update these Terms to reflect changes in the Services, legal requirements, or business practices.

When the Terms change, CPRally will update the “Last updated” date. Material changes may also be communicated through the website, application, or another appropriate method.

Your continued use of the Services after revised Terms become effective means that the revised Terms apply to your continued use.

22. General Terms

22.1 Entire Agreement

These Terms, the Privacy Policy, and any additional terms expressly presented for a specific feature form the agreement between you and CPRally concerning the Services.

Event-specific rules, waivers, and organizer terms are separate agreements between the applicable organizer and participant. They do not replace these Terms.

22.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the greatest extent permitted by law.

22.3 No Waiver

A failure to enforce a provision is not a waiver of the right to enforce it later.

22.4 Assignment

You may not assign your rights or obligations under these Terms without CPRally's written consent.

CPRally may assign these Terms as part of a merger, acquisition, restructuring, asset transfer, or similar transaction.

22.5 No Third-Party Beneficiaries

Except where these Terms expressly state otherwise, they do not create rights for third-party beneficiaries.

22.6 Headings

Section headings are provided for convenience and do not limit the meaning of the Terms.

22.7 Survival

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and retained records.
